§ 1 What these terms cover

Software and website

These terms govern your use of the Halton Meter software (the daemon and any bundled components) and the haltonmeter.com website. By installing the software or using the website you agree to these terms.

§ 2 License

Polyform Perimeter 1.0.0

The Halton Meter daemon is licensed under the Polyform Perimeter License 1.0.0. A copy is included with the software.

Permitted

  • Install, run, and modify the software for your own internal cost tracking and attribution.
  • Use it in commercial settings — at an agency, within a company, or on client work.

Not permitted

  • Building or operating a competing product or service — meaning any product whose primary purpose is LLM API proxying, usage metering, cost attribution, or similar capabilities offered to third parties.

§ 3 No warranty

As is, without warranty

The software is provided as is, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

Halton Meter is in active development. Cost calculations depend on pricing data that providers change without notice. We make reasonable efforts to keep pricing current, but we cannot guarantee that computed costs will match your provider's billing at all times. Do not rely on Halton Meter as your sole source of billing truth without independent reconciliation.

§ 4 Limitation of liability

Capped at £50 GBP

To the fullest extent permitted by applicable law, Halton LabsHalton Labs and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the software or these terms, even if advised of the possibility of such damages.

Our total liability for direct damages shall not exceed the greater of (a) the amount you paid for the software in the twelve months preceding the claim, or (b) £50 GBP.

§ 5 Acceptable use

What you may not do

You may not use the software or website to:

  • Violate any applicable law or regulation.
  • Interfere with or circumvent the security measures of any LLM provider or third-party service.
  • Attempt to reverse-engineer the software beyond what the Polyform Perimeter License permits.

§ 6 Third-party services

Provider terms apply downstream

The software routes traffic to third-party LLM APIs (Anthropic, OpenAI, Google, xAI/Grok, and others). Your use of those services is governed by each provider's own terms and policies. Halton LabsHalton Labs is not responsible for the availability, pricing, or behaviour of any third-party API.

§ 7 Changes to the software and terms

Material changes get a date bump

We may update the software and these terms at any time. Material changes to these terms will be noted in the product changelog and reflected in the effective date above. Continued use after a material change constitutes acceptance.

§ 8 Governing law

England and Wales

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
